I will be given copyrighted and trademarked material for evaluation and treatment, specifically the F.A.S.T Approach™. I agree not to disclose, share, sell, or teach this copyrighted material with any individual.
(b) I will not, in any manner, either directly or indirectly (i) disclose, make available or divulge to any corporation, partnership, person, firm or other business any nonpublic
information respecting the business of Fix It Physical Therapy, including but not limited to (A) any and all trade secrets concerning the business and affairs of Fix It Physical Therapy, data,
know-how, business methods, customer lists, current and anticipated customer requirements, pricing methodologies, market studies and business plans of Fix It Physical Therapy; (B) any and all information concerning the business and affairs of Fix It Physical Therapy, which includes without limitation, training, evaluation and treatment techniques, sales and marketing programs, customer information, market valuations and information, financial information, financial statements, financial projections and budgets, historical and projected sales, sales data, the names and backgrounds of key personnel, personnel training and techniques and materials, however documented; and (C) any and all notes, analysis, compilations, studies, summaries, and other material prepared by or for Fix It Physical Therapy, containing or based, in whole or in part, on any information included in the foregoing; or (ii) induce or attempt to induce any employee of or consultant to Fix It Physical Therapy to do any of the foregoing. I also agree that (a) the covenants contained in this Agreement are reasonable, legitimate and
necessary to protect the legitimate business interests of Fix It Physical Therapy, do not impose an undue hardship on me and will not be injurious to the public, (b) any breach of this Agreement will cause Fix It Physical Therapy irreparable harm for which there is no adequate remedy at law, and (c) without limiting whatever other rights or remedies Fix It Physical Therapy may have under this Agreement, Fix It Physical Therapy is authorized and entitled to obtain an injunction in favor of Fix It Physical Therapy enjoining the breach by me of this Agreement by any court of competent jurisdiction, and such relief may be granted without the necessity of proving actual damages.
If any dispute arises between Fix It Physical Therapy and me with respect to the matters covered by this Agreement which leads to a proceeding to resolve such dispute, the prevailing party in such proceeding shall be entitled to receive such prevailing party’s reasonable attorneys’ fees, expert witness fees and out of pocket costs incurred in connection with such proceeding, in addition to any other relief to which such prevailing party may be entitled.
